Membership Terms of Use
Membership Terms of Use set out the terms under which Melanie Lay allows you to use the site http://www.melanielaysolutions or https://melanielaysolutions.app.clientclub.net/ (“Site”) as a visitor or registered Member or user. All enquiries should be directed to info@melanielaysolutions.com
Please read the terms of this policy carefully, as by using our Site you indicate that you agree to comply with and be bound by them.
“Member” shall mean any member of the membership, The Empathic Entrepreneurs Club.
JOINING MEMBERSHIP
Members can join at any time by completing the checkout and making their first payment.
We retain complete discretion as to whether to accept any person for Membership. We are not obliged to disclose reasons to an unsuccessful Member or explain why they were not accepted.
EXPIRY AND TERMINATION OF MEMBERSHIP
Upon expiry or termination of any Membership, the Member shall be removed from the online members’ community (including but not limited to any of our private Facebook groups), their details removed from the Site, and their access to Members’ only areas of the Site revoked (where applicable).
Membership of the Empathic Entrepreneurs Club is for individual use and cannot be transferred or transmitted to another person or organisation. We shall have the power to suspend or expel any member without refund of Membership Fees, if such member:
Has committed any unlawful act;
Wilfully refuses or neglects to comply with a provision of the Terms and Conditions of Mel Lay;
is found to have knowingly falsified any information submitted to us; or
is found guilty of conduct which in the opinion of the Directors is unbecoming of a Member or prejudicial to the interests of Melanie Lay.
Members can cancel their Membership at any point during the Membership with 30 days notice via email to mel@melanielaysolutions.com.
We cannot issue refunds for any proportion of Membership remaining.
MEMBERSHIP & FEES
All Memberships are prepaid through our Site, or from time to time as may be deemed necessary via an email link.
Memberships are granted to individuals, not to organisations.
Those who joined via the opening wait list will only ever be charged £29 for the lifetime of the membership, unless the member leaves, in which case and subsequent re-entry, then the subscription charge will be applied at the current rate.
Memberships shall expire immediately should the renewal payment not be received by the due date.
Monthly memberships are on a monthly rolling basis and can be cancelled at any time with 30 days written notice. Any payments taken or attempted within this 30-day notice period are not subject to refund.
The fees applicable to each Membership Package shall be reviewed from time to time, and we reserve the right to change these without prior notice.
For monthly payments, the Membership Fee determined at the date of issue of Membership shall remain the same for the entirety of that Membership Year.
MEMBERSHIP PACKAGES
The Membership Packages contain all of the benefits and privileges associated with the Membership. While we make every effort to maintain all of the benefits, we reserve the right to amend the Membership Package offerings during the Membership Year.
While we will endeavour to replace any benefit with a benefit of equivalent value, Members will not be entitled to any refund of any fee or portion of fees as a result of any change to the package.
All information given into the membership by Melanie Lay is the opinion of Melanie Lay and there are no guarantees that the information provided will provide benefits to the member or their business and Melanie Lay accepts no liability for any negative effects to the business or the members. It is the responsibility of the member to do their own due diligence on any information added into the membership by the creator or it’s members.
INTELLECTUAL PROPERTY, COPYRIGHT & USE OF MATERIALS

1. Ownership of Intellectual Property
1.1 All content, materials, documents, training videos, templates, guides, worksheets, course modules, written posts, PDF downloads, audio recordings, live session replays, graphics, branding, and any other resources provided within The Empathic Entrepreneurs Club Membership, including materials shared inside the members’ Facebook group, constitute the intellectual property of Melanie Lay (trading as Melanie Lay Solutions).
1.2 All such intellectual property is protected by UK copyright law, international copyright conventions, trademarks, and other proprietary rights.
1.3 Membership grants the Member a personal, non-exclusive, non-transferable, non-assignable licence to access and use the resources solely for their own business development. No ownership rights are transferred to the Member at any point.
2. Restrictions on Use
2.1 Members must not reproduce, republish, share, distribute, screenshot, download for external use, store in a retrieval system, transmit, publicly display, or otherwise make available any Membership materials to any third party without prior written consent from Melanie Lay.
2.2 The above restriction includes, but is not limited to:
- sharing resources with peers, supervisors, clients, or team members
- uploading materials to shared drives
- copying or adapting templates for resale or redistribution
- using Membership materials to create competing products, services, coaching resources, or trainings
- sharing any part of live session recordings, video clips, or screenshots of the Facebook community
2.3 Members must not teach, resell, duplicate, or commercially exploit any of the methodologies, frameworks, systems, or intellectual property contained within the Membership.
2.4 Members must not use any Membership resource as part of any paid or unpaid programme, workshop, training, digital product, supervision offering, or psychoeducational material delivered to others.
3. Copyright of Community Interactions
3.1 Posts, comments, live sessions, video interactions, Q&A discussions, and all contributions made by Melanie Lay inside the Facebook group or Membership platform remain the exclusive intellectual property of Melanie Lay.
3.2 Members may not copy, repeat, screenshot, rephrase, or repurpose any of the above outside the Membership environment.
3.3 The Facebook group, including all content posted by Members, is considered part of the Membership space and therefore subject to these terms.
4. Use of Member-Generated Content
4.1 Any content voluntarily posted by Members within the Membership spaces (including Facebook) remains the intellectual property of the Member.
4.2 By participating in the Membership, Members grant Melanie Lay Solutions a non-exclusive, royalty-free licence to:
- store posts and contributions inside the group
- display them to other Members
- use anonymised or consent-granted testimonials for marketing purposes
4.3 No Member’s personal or identifying details will be shared publicly without explicit written consent.
ACCEPTANCE OF OUR POLICIES
You agree that in becoming a Member, you will have access to Members’ only areas of the Site with security encryption to protect against external unauthorised access. While every effort will be made to ensure ongoing protection, we shall not be liable for any breach in security outside of our control.
As a condition of Membership, all Members agree to have their details published in the Directory, which any Member with the appropriate level of access may view. The information published shall include but is not limited to:
name
company name
contact information
photo
bio
We reserve the right to amend these requirements at any time without prior notice.
We may wish to publish information from time to time featuring a new Member, profiling a Member, providing a testimonial, or publishing an article on or by a Member. We will not publish any information without the prior consent of the Member.
Our entire Site is designed to be viewed only. Members are not permitted to extract any information from within the protected Members’ area for their own means, other than for the purpose of making contact with other Members. Anyone found so doing shall have their Membership terminated with immediate effect and face possible legal action.
Whilst reasonable checks have been made as to the quality of affiliated products and linked sites, we cannot guarantee the performance or quality of these.
We reserve the right to make reasonable changes to the Site and/or Membership conditions and features without prior notice.
ACCESS RIGHTS, LOGIN SECURITY & FAIR USE

1. Access to Materials
1.1 Access to all Membership materials, including replays and digital downloads, is contingent upon an active, paid subscription.
1.2 Once a Membership ends, all access to the Membership portal, Facebook group, trainings, sessions, replays, and downloadable resources will be revoked immediately.
1.3 Members must ensure they download only the materials expressly permitted for personal use.
2. Login Sharing
2.1 Login credentials are strictly for individual Member use.
2.2 Sharing login details or access constitutes grounds for immediate termination without refund.
2.3 Any activity suggesting shared access may result in suspension pending investigation.
3. Facebook Group Access
3.1 Access to the private Facebook group is provided solely as part of an active Membership.
3.2 Access will be removed immediately upon cancellation, non-payment, removal, or breach of these Terms.
3.3 Members must respect confidentiality. No screenshots, copying, or external sharing of group content is permitted.
3.4 Use of ideas, strategies, stories, or shared experiences of other Members outside the group is strictly prohibited.
CONDUCT
Members agree to act in a manner becoming of a professional business member at any event of Melanie Lay or in any interactions online as per our Code of Conduct.
Members shall be given their unique login details to gain access on the Site. Members agree not to share or disclose their password, with any other person, including another Member. Breach of this condition will be considered grounds for termination of Membership and possible legal action.
Members agree that while networking and collaboration is part of the core purposes for which the Membership has been established, Members will not abuse or otherwise seek to take advantage of the access to other Members or for the purposes of sales or marketing or other promotional activities for their own ends.
DISPUTE RESOLUTION
Each Member of Empathic Entrepreneurs Club agrees and acknowledges that they are responsible for their interactions with other Members.
In the event of a dispute arising regarding the conduct of another Member, each Member accepts that they should attempt to resolve the dispute between themselves.
PAYMENT OF GOODS, REFUNDS AND WARRANTIES
An order placed for the purchase of any goods is binding on the purchaser upon the completion of the online transaction.
It is not our policy to give refunds on any Membership Package, products or services purchased via our Site. Please choose carefully. Any refunds offered will be at the sole discretion of Melanie Lay and their decision is final.

(a) will be constantly available, or available at all; or
(b) is true, accurate, complete, current or non-misleading.

DATA PROTECTION & PRIVACY
Members’ personal data will be handled in accordance with GDPR and the Data Protection Act 2018.
By joining, Members consent to receiving emails regarding Membership access, updates and communications. Members may opt out of marketing emails at any time.
VARIATION OF TERMS
We reserve the right to amend these Terms and Conditions at any time. Members will be notified of significant changes. Continued use of the Membership constitutes acceptance of updated Terms.
GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English and Welsh courts.
